Kairos Vision provides a build-and-scale program for founders. We are the data controller for personal data collected via our website, application form, and program operations. Our site is hosted on Wix; Wix acts as a data processor/host on our behalf.

Scope
This Policy explains how we collect, use, share, secure, and retain personal data relating to program applicants, portfolio founders, site visitors, investors we liaise with, and partners.
What we collect

Identity & contact: name, email, phone, location, nationality, LinkedIn/handles, date of birth (if provided).

Application data: company info, team info, traction metrics, answers to form questions, uploaded files (pitch deck, financials, government ID).

Technical data: device, browser, IP, approximate location, pages viewed, referral source, cookies/SDK events (subject to consent).

Program ops: meeting notes, milestone progress, invoicing/payment details, compliance/KYC status where required by law.

Communications: emails, support tickets, and marketing preferences.
Why we use it (purposes & legal bases)

Evaluate and onboard applicants; deliver program services (contract performance / legitimate interests).

Verify identity and perform compliance checks where applicable (legal obligation / legitimate interests / explicit consent where required).

Provide funding pathway and make investor introductions (legitimate interests; for investor sharing we use NDAs or equivalent safeguards).

Sharing
We may share personal data with:

We do not sell personal data.
International transfers
Data may be processed outside your country. Where required (e.g., transfers from the EEA/UK), we use Standard Contractual Clauses (SCCs) and additional safeguards.
Retention

Applications (unsuccessful): typically 12 months after decision unless you consent to longer retention for future opportunities.

Program participants: for the duration of our relationship and 7 years thereafter for legal/accounting purposes.

Government ID or similar sensitive files: retained only as long as necessary for verification/compliance; then securely deleted or redacted.
Security
We implement administrative, technical, and physical safeguards including role-based access, encryption in transit, secure hosting, least-privilege controls, audit logs, and vendor due diligence. Sensitive uploads are restricted to authorized personnel only.
Your rights
Depending on your location (e.g., NDPA (Nigeria 2023), GDPR/UK GDPR, CCPA/CPRA), you may have the right to access, correct, delete, port, or restrict processing; object to marketing; and withdraw consent at any time.

Children
Our services are not directed to children under 16. We do not knowingly collect children’s data.

Mutual Non-Disclosure Agreement (MNDA)
Parties. This Mutual Non-Disclosure Agreement (“Agreement”) is entered into by and between Kairos Vision (“Kairos”) and [Founder/Company Name] (“Founder”), each a “Party” and together the “Parties,” effective as of [Effective Date].
1. Purpose. In connection with discussions and activities relating to Founder’s participation in the Kairos Vision program and potential investment, the Parties may disclose certain Confidential Information to each other (“Purpose”).
2. Confidential Information. “Confidential Information” means non-public information disclosed by a Party (the “Discloser”) to the other (the “Recipient”), whether oral, written, electronic, visual, or otherwise, including product plans, financials, code, data rooms, investor materials, customer lists, pricing, processes, personal data (including identification documents), and this Agreement’s terms.
Confidential Information does not include information that the Recipient can demonstrate: (a) is or becomes public through no fault of Recipient; (b) was lawfully known to Recipient without restriction before disclosure; (c) is independently developed by Recipient without use of Discloser’s information; or (d) is rightfully received from a third party without duty of confidentiality.
3. Use & Care. Recipient will (a) use the Confidential Information solely for the Purpose; (b) not disclose it to anyone except its employees, advisers, prospective investors, service providers, or affiliates who need to know for the Purpose and are bound by confidentiality obligations at least as protective; and (c) protect it using at least reasonable care.
4. Compelled Disclosure. If legally required to disclose, Recipient may do so after giving Discloser prompt notice (where lawful) and reasonable cooperation to seek protective measures.
5. No License. This Agreement does not grant any license or other rights to Discloser’s IP except as expressly stated.
6. Return/Destruction. Upon request, Recipient will promptly return or destroy Confidential Information and certify destruction, except that (i) routine back-ups may be retained securely, and (ii) one archival copy may be retained for compliance purposes.
7. Term & Survival. This Agreement begins on the Effective Date and continues for three (3) years. Recipient’s duties regarding trade secrets survive so long as the information remains a trade secret; all other confidentiality obligations survive for the Term.
8. Personal Data. Where Confidential Information includes personal data, Recipient will process it consistent with applicable law and the Privacy & Data Policy linked on the Kairos site, including appropriate safeguards and access controls.
9. Remedies. Breach may cause irreparable harm. Discloser may seek injunctive relief in addition to other remedies.
10. Non-Solicitation (optional). For 12 months from first disclosure, neither Party will solicit to hire the other Party’s employees directly involved in the Purpose (general solicitations excluded).
11. Export/Compliance. Each Party will comply with applicable sanctions, export controls, and anti-corruption laws.
12. No Partnership. The Parties are independent contractors. This Agreement does not create agency, partnership, or joint venture.
13. Entire Agreement; Amendments. This is the entire agreement regarding confidentiality and supersedes prior NDAs for the Purpose. Amendments must be in writing.
14. Governing Law; Arbitration. This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Lagos Court of Arbitration (LCA) under the LCA Arbitration Rules. The seat (legal place) of arbitration shall be Lagos, Nigeria. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The Parties agree that the arbitration and any award shall be confidential. Nothing in this clause prevents either Party from seeking urgent interim or injunctive relief from any court of competent jurisdiction in support of the arbitration.
15. Execution. This Agreement may be accepted electronically (including checkbox consent during application) and in counterparts.
